Terms of Service
These Terms of Service govern all commercial relationships between REKAVIO and our clients. Please review carefully before placing orders.
Scope of Cooperation
Applicable Business Relationships
These Terms of Service apply to all commercial transactions between REKAVIO and clients, including but not limited to:
- Purchase of standard industrial tool storage products (tool cabinets, tool carts, workstations)
- Customized product design, development, and manufacturing services
- Global sourcing and supply chain management services
- Factory audits, quality inspection, and logistics coordination
By placing an order or engaging our services, clients acknowledge and agree to be bound by these terms. REKAVIO reserves the right to update these terms periodically, with changes effective upon publication on our official website.
Order Rules
MOQ, Payment Terms & Delivery
Minimum Order Quantity (MOQ)
Standard products: MOQ varies by product line, typically starting at 50 units per SKU. Customized products: MOQ is subject to negotiation based on design complexity and production requirements, generally starting at 100 units.
Payment Terms
- Standard Orders: 30% deposit upon order confirmation, 70% balance before shipment.
- Customized Orders: 40% deposit upon design approval, 30% upon production completion, 30% before shipment.
- Long-term Partners: Flexible payment terms (e.g., Net 30/60) available after credit evaluation.
- Accepted Methods: T/T (Wire Transfer), L/C (Letter of Credit), or other mutually agreed methods.
Delivery Timeline
Standard products: 20-30 working days after deposit receipt. Customized products: 35-50 working days after design finalization and deposit receipt. Delivery timelines may vary based on order volume, customization complexity, and production schedules. REKAVIO will provide estimated delivery dates in writing and notify clients promptly of any delays.
Customization Terms
Sampling, Tooling & Mold Ownership
Sampling Fees
Clients requesting customized product samples will be charged a sampling fee to cover design, material, and production costs. Sampling fees are non-refundable but may be deducted from the total order value if the client proceeds with a bulk order meeting the agreed MOQ within 90 days of sample approval.
Tooling & Mold Costs
For highly customized products requiring specialized tooling or molds, clients will bear the tooling/mold development costs separately. These costs will be clearly itemized in the quotation and are non-refundable.
Mold Ownership
Unless otherwise agreed in writing, all molds and tooling developed for customized orders remain the property of REKAVIO. However, clients who have fully paid for mold development costs may request exclusive usage rights for a specified period (typically 3-5 years), during which REKAVIO will not use the molds for other clients. After the exclusivity period, REKAVIO reserves the right to repurpose the molds unless the client renews the exclusivity agreement or purchases full ownership.
Note: All design drawings, technical specifications, and intellectual property related to customized products remain confidential and are protected under our Non-Disclosure Agreement (NDA).
Quality & After-Sales Service
Inspection, Warranty & Support
Quality Inspection
All products undergo rigorous quality control inspections before shipment, including dimensional accuracy, load-bearing tests, surface finish checks, and functionality verification. Clients may request third-party inspection services (e.g., SGS, TÜV) at their own expense. REKAVIO will cooperate fully with third-party inspectors and provide necessary documentation.
Warranty Policy
- Standard Products: 12-month warranty from the date of delivery, covering manufacturing defects in materials and workmanship.
- Customized Products: 12-month warranty with terms adjusted based on usage conditions and customization specifications.
- Exclusions: Warranty does not cover damage caused by improper use, unauthorized modifications, normal wear and tear, or force majeure events.
Claim Procedure
Clients must report any quality issues in writing within 7 days of delivery, accompanied by photographic evidence and detailed descriptions. REKAVIO will investigate all claims and respond within 5 business days. For valid claims, we will offer replacement parts, product replacement, or partial refunds at our discretion.
Technical Support
REKAVIO provides ongoing technical support, including installation guidance, maintenance recommendations, and troubleshooting assistance. Clients may contact our support team via email or phone during business hours.
Liability & Dispute Resolution
Breach of Contract & Legal Framework
Breach of Contract by Client
- Payment Delays: If the client fails to make payments as agreed, REKAVIO reserves the right to suspend production or shipment. Late payment fees of 1.5% per month may apply.
- Order Cancellation: Clients may cancel orders before production begins with a cancellation fee of 10% of the order value. Once production has started, cancellations are not permitted, and the client remains liable for the full order amount.
- Refusal of Delivery: If the client refuses to accept delivery of compliant products, REKAVIO may charge storage fees and resell the products, with any shortfall to be borne by the client.
Breach of Contract by REKAVIO
- Delivery Delays: If REKAVIO fails to deliver within the agreed timeline (excluding force majeure), clients may request compensation equivalent to 0.5% of the order value per week of delay, up to a maximum of 5% of the total order value.
- Quality Non-Compliance: If products fail to meet agreed specifications due to REKAVIO's fault, we will offer full replacement or refund at the client's discretion.
Force Majeure
Neither party shall be liable for failure to perform obligations due to force majeure events, including but not limited to natural disasters, war, government actions, pandemics, or severe supply chain disruptions. The affected party must notify the other party promptly and provide supporting documentation.
Dispute Resolution
In the event of a dispute, both parties agree to first seek resolution through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be submitted to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing, China. The arbitration award shall be final and binding on both parties.
Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China.
